End User License Agreement

1. License Grant
NK Productions grants you a non-exclusive, non-transferable license to use the software product (the “Software”) on up to three (3) computers owned or controlled by you. NK Productions は、お客様が所有または管理する最大3台のコンピュータで本製品（以下「本ソフトウェア」）を使用する非独占的かつ譲渡不能なライセンスを付与します。
2. License Activation
The Software requires license activation. A valid license key must be entered to unlock the full version. Each license key may be activated on up to three (3) machines. License deactivation and reactivation can be managed through the Software’s settings menu. Offline activation is also available for computers without internet access via the Offline Activation page (purchased licenses only). Once activated online, the Software periodically re-validates the license; if no internet connection is available, the Software continues to operate fully for up to ninety (90) days, and a single successful reconnection re-validates the license and resets this allowance. Offline-activated licenses do not require periodic internet access. The license itself is perpetual. For security, activation is performed with a license key (code) only; the Software never requires, receives, or stores your account password. 本ソフトウェアはライセンス認証が必要です。フルバージョンのアンロックには有効なライセンスキーの入力が必要です。各ライセンスキーは最大3台のマシンで認証可能です。ライセンスの無効化と再認証は、ソフトウェアの設定メニューで管理できます。インターネットに接続できないコンピュータ向けにオフライン認証ページからのオフライン認証（購入ライセンス専用）も利用できます。オンライン認証後、本ソフトウェアは定期的にライセンスを再検証します。インターネットに接続できない場合も最大 90 日間はフル機能で動作し続け、期間内に一度再接続すれば自動的に再検証されて猶予はリセットされます。オフライン認証されたライセンスは定期的なインターネット接続を必要としません。ライセンス自体は永続です。セキュリティのため、認証はライセンスキー（コード）のみで行い、本ソフトウェアがお客様のアカウントのパスワードを要求・受信・保存することはありません。
3. Demo Mode and Trial License
Without a license key the Software runs in Demo mode. Demo mode is fully functional and not time-limited, but the audio output is briefly interrupted at regular intervals. A free fourteen (14) day Full Trial license is also available; it requires a user account and one online activation, may be used on one (1) computer, and is limited to one (1) trial per user. The trial period is enforced even without an internet connection, and trial licenses cannot be activated offline. When the trial period ends, the Software returns to Demo mode. ライセンスキーがない場合、本ソフトウェアは Demo モードで動作します。Demo モードは全機能が利用可能で期間制限もありませんが、オーディオ出力が定期的に短く中断されます。また、無料の 14 日間 Full Trial ライセンスを利用できます。Full Trial にはユーザーアカウントと 1 回のオンライン認証が必要で、1 台のコンピューターで使用でき、1 ユーザーにつき 1 回に限られます。トライアル期間はインターネット接続がない場合でも厳格に適用され、トライアルライセンスはオフライン認証できません。期間終了後、本ソフトウェアは Demo モードに戻ります。
4. Restrictions
You may not: お客様は以下の行為を行うことはできません：
- Copy, distribute, or share the Software or license key with third parties 本ソフトウェアまたはライセンスキーを第三者にコピー、配布、共有すること
- Reverse engineer, decompile, or disassemble the Software 本ソフトウェアをリバースエンジニアリング、逆コンパイル、逆アセンブルすること
- Modify, adapt, or create derivative works based on the Software 本ソフトウェアを改変、翻案、または派生物を作成すること
- Remove or alter any proprietary notices, labels, or marks on the Software 本ソフトウェアの所有権表示、ラベル、マークを削除または変更すること
- Resell, rent, lease, or sublicense the Software or license key 本ソフトウェアまたはライセンスキーを転売、貸与、リース、サブライセンスすること
5. Intellectual Property
The Software, including all proprietary audio models, signal processing algorithms, and user interface designs, is the intellectual property of NK Productions. This license does not grant you any ownership rights to the Software. 独自のオーディオモデル、信号処理アルゴリズム、ユーザーインターフェースデザインを含む本ソフトウェアは NK Productions の知的財産です。本ライセンスはお客様に本ソフトウェアの所有権を付与するものではありません。
6. Data Collection
The Software collects the following data for license activation and validation purposes only: 本ソフトウェアはライセンス認証および検証の目的でのみ以下のデータを収集します：
- Machine identifier (hardware-derived, anonymized) マシン識別子（ハードウェア由来、匿名化済み）
- License key ライセンスキー
No personal information, audio data, or usage analytics are collected or transmitted. 個人情報、オーディオデータ、使用状況の分析データは一切収集・送信されません。
Offline activation can be completed without any internet connection. The activation process itself does not involve any network communication — simply enter a response code obtained from a separate device. With offline activation, no periodic server communication of any kind is performed, and no data of any kind is collected or transmitted from the Software. オフライン認証はインターネット接続を一切行わずに行うことが出来ます。オフライン認証の手続き自体もネットワーク通信を伴いません。別のデバイスで取得した応答コードを入力するだけで完了します。オフライン認証の場合、定期的なサーバー通信を一切行わず、本ソフトウェアからデータが収集・送信されることも一切ありません。
7. Refund Policy
As this is a digital product, all sales are final. No refunds will be issued after the license key has been delivered. We strongly recommend evaluating the Software in Demo mode or with the free 14-day Full Trial before purchase to ensure compatibility with your system and workflow. デジタル商品のため、すべての販売は最終的なものです。ライセンスキー配信後の返金は行いません。ご購入前に Demo モードまたは無料の 14 日間 Full Trial でお客様のシステムおよびワークフローとの互換性を十分にご確認ください。
8. Disclaimer of Warranties
The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. NK Productions does not warrant that the Software will be error-free or uninterrupted. 本ソフトウェアは、商品性、特定目的への適合性、非侵害性の保証を含む、明示的または黙示的ないかなる種類の保証もなく「現状のまま」提供されます。NK Productions は本ソフトウェアにエラーがないこと、または中断されないことを保証しません。
9. Limitation of Liability
In no event shall NK Productions be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Software, regardless of the cause of action. NK Productions’ total liability shall not exceed the amount paid by you for the Software license. NK Productions は、本ソフトウェアの使用に起因または関連する間接的、偶発的、特別、結果的、懲罰的損害について、訴因の如何を問わず、いかなる場合も責任を負いません。NK Productions の責任総額は、お客様が本ソフトウェアライセンスに対して支払った金額を超えないものとします。
10. Termination
This license is effective until terminated. NK Productions may terminate this license if you fail to comply with any of its terms. Upon termination, you must destroy all copies of the Software in your possession. 本ライセンスは終了するまで有効です。お客様がいずれかの条項に違反した場合、NK Productions は本ライセンスを終了することができます。終了時には、お客様が所持する本ソフトウェアのすべてのコピーを破棄しなければなりません。
11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Japan. 本契約は日本法に準拠し、日本法に従って解釈されるものとします。本契約に起因する紛争は、日本の裁判所の専属管轄に服するものとします。
